End User License Agreement
These license terms apply to the JoinlyMeeting macOS application. Please read them before installing or using the app.
1. Parties and acknowledgement
This agreement is between you and Graure Elena Carmen, the application provider, and not with Apple. The provider—not Apple—is responsible for JoinlyMeeting and its content. Marketplace business information may identify GMI Electronice S.R.L. and legal representative Graure Mihai where required.
2. Scope of license
Subject to these terms, you receive a limited, personal, non-exclusive, non-transferable and revocable license to install and use JoinlyMeeting on Apple-branded products that you own or control and as allowed by the applicable App Store usage rules, including permitted Family Sharing or volume-purchase use.
3. License restrictions
Except where applicable law or open-source licenses expressly permit it, you may not:
- copy, rent, lease, lend, sell, sublicense, redistribute or make the app available over a network for simultaneous use beyond applicable usage rules;
- reverse engineer, decompile, disassemble, attempt to derive source code from, modify or create derivative works of the app;
- remove legal, copyright or proprietary notices;
- circumvent security, authorization, rate limits or technical restrictions;
- use the app in a way that violates law or another person’s rights.
4. Ownership
The app is licensed, not sold. The provider and its licensors retain all rights not expressly granted. Zoom, Apple and other third-party names and marks remain the property of their respective owners.
5. Zoom and other third-party terms
JoinlyMeeting can interact with Zoom and macOS services. You must comply with the terms that apply to your Zoom account, Apple device, network service and any third-party content. The provider does not control third-party services and is not responsible for their independent availability, security or decisions.
6. OAuth and permissions
Features that create, schedule or list meetings require your authorization through Zoom. The app requests only the scopes described in its documentation. Recording requires macOS permission for the selected capture resources. You may refuse or later revoke optional permissions, but related features may stop working.
7. Recording and lawful use
You are solely responsible for giving required notices and obtaining required consent before recording a meeting, screen, voice or personal information. You must not use JoinlyMeeting for unlawful surveillance, infringement, harassment, fraud or other prohibited conduct.
8. Privacy
Use of the app is subject to the Privacy Policy. Core meeting state, OAuth tokens, recordings and notes are handled as described there. Zoom and Apple process information under their own policies.
9. Maintenance and support
The provider is responsible for maintenance and support required by applicable law and described on the Support page. Apple has no obligation to provide maintenance or support for JoinlyMeeting.
10. Updates
Updates may add, change or remove functionality and may be required for security, compatibility or continued use of third-party APIs. Unless an update includes separate terms, these terms apply to it.
11. Warranty and App Store remedy
To the extent permitted by law, JoinlyMeeting is provided “as is” and “as available,” without a promise of uninterrupted or error-free operation. If an App Store version fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price, if any, under its applicable terms. To the maximum extent permitted by law, Apple has no other warranty obligation for JoinlyMeeting. The provider remains responsible for other warranty claims to the extent required by law.
12. Product and intellectual-property claims
The provider, not Apple, is responsible for addressing claims relating to JoinlyMeeting or your possession and use of it, including product-liability claims, legal or regulatory compliance claims and consumer-protection or privacy claims. If a third party alleges that JoinlyMeeting infringes intellectual-property rights, the provider—not Apple—is responsible for investigation, defense, settlement and discharge of that claim, subject to applicable law.
13. Limitation of liability
To the maximum extent permitted by law, the provider is not liable for indirect, incidental, special or consequential loss, loss of data, lost profits or interruption resulting from use of the app or a third-party service. This limitation does not exclude mandatory consumer rights or liability that cannot lawfully be excluded.
14. Legal compliance
You represent that you are not located in a country subject to a United States Government embargo or designated as supporting terrorism and that you are not listed on a United States Government prohibited or restricted-party list. You must also comply with applicable export, sanctions and local laws.
15. Termination
This license continues until terminated. It ends automatically if you materially breach these terms. On termination, stop using and delete the app. You may also disconnect Zoom, revoke the app in Zoom and delete recordings, notes and other local data as described in the documentation.
16. Governing law and mandatory rights
Romanian law governs these supplemental terms, without depriving consumers of mandatory protections in their place of residence. Mandatory marketplace rules and non-waivable statutory rights remain effective.
17. Apple as third-party beneficiary
You and the provider acknowledge that Apple and its subsidiaries are third-party beneficiaries of these license terms and, after your acceptance, may enforce the applicable terms against you as a third-party beneficiary.
18. Contact
Questions, complaints and claims concerning JoinlyMeeting should be directed to Graure Elena Carmen at [email protected]. Additional legally required developer contact information is supplied in the relevant marketplace listing.
